The Johnnie B. Walton Foundation, Inc. is committed to operating with integrity, accountability, and transparency. The Foundation advances its charitable mission through responsible governance, clear financial oversight, and measurable community impact.
Governance & Board Oversight
The Foundation is governed by an independent Board of Directors. The Board provides fiduciary oversight and ensures that all activities align with the Foundation’s mission, legal obligations, and ethical standards.
The Board is responsible for:
• Mission and strategic direction
• Financial oversight and budget approval
• Program approval and evaluation
• Compliance and policy governance
• Risk management and internal controls
Board of Directors selection and appointments are currently under formal review to ensure strong governance, transparency, independence, and alignment with the Foundation’s mission and values.
WHAT TO INCLUDE IN THE REFUND POLICY
Management & Operations
To support effective operations and program execution, the Foundation has entered into a Management Services Agreement with Proudly EC LLC, a for-profit lifestyle and community-based company.
Under this agreement, Proudly EC LLC provides administrative, operational, and strategic support services to the Foundation at fair market value. This structure enhances operational efficiency while allowing the Foundation to remain focused on its charitable mission.
Important: The Foundation remains fully independent. All governance authority, fiduciary responsibility, financial oversight, and mission-critical decisions remain solely with the Foundation’s Board of Directors. Proudly EC LLC does not control the Foundation, its finances, or its charitable assets.
Financial Integrity
The Foundation is committed to responsible stewardship of all funds entrusted to it. This includes disciplined budgeting, documented expenditures, Board-level financial oversight, and use of funds in alignment with charitable purpose and donor intent.
Conflict of Interest & Ethical Standards
The Foundation maintains ethical standards intended to prevent conflicts of interest and protect its charitable assets. These standards include Board oversight of major agreements, arm’s-length decision-making, and governance policies designed to ensure accountability and public trust.

Transparency builds trust. Funders and partners may request additional governance documentation and operational summaries as appropriate. Available upon request: Management & Governance disclosures,
organizational documentation, and program summaries and impact reporting, as available.
